Please read these Terms and Conditions carefully before accessing or using any product, service, platform, or API offered by XeliAI. By creating an account, initiating a free trial, or otherwise accessing any part of our platform at xeliai.com, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use our services. These Terms constitute a legally binding agreement between you and XeliAI, a technology company providing AI-powered customer support, business automation, and related services.
To use the Platform, you must: (a) be at least 18 years of age or the age of legal majority in your jurisdiction; (b) have the legal capacity to enter into binding contracts; and (c) not be prohibited from using the Services under applicable law. By accessing the Platform, you represent and warrant that you meet all eligibility requirements.
XeliAI's Services are designed primarily for business use. If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity. References to "you" shall apply to that entity.
You must register for an Account to access most features of the Platform. You agree to:
XeliAI reserves the right to refuse registration, suspend, or terminate any account at its sole discretion, including where information provided is false, misleading, or in breach of these Terms.
XeliAI provides an AI-powered customer support and business automation platform. Core service components include:
XeliAI targets 99% uptime but does not guarantee uninterrupted access. Planned maintenance, updates, or circumstances beyond our control may cause temporary unavailability. XeliAI will endeavour to provide advance notice of scheduled downtime where reasonably practicable.
XeliAI offers a 14-day free trial of the Platform. No credit card is required to begin a free trial. At the end of the trial period, you must select a paid Subscription to continue accessing paid features. XeliAI reserves the right to modify or discontinue free trial offerings at any time without notice.
XeliAI reserves the right to add, modify, discontinue, or restrict features of the Platform at any time. We will make reasonable efforts to communicate material changes to existing subscribers in advance.
Plan details, limits, and prices are subject to change. Existing subscribers will receive at least 30 days' notice before material pricing changes take effect.
Paid Subscriptions are billed on a monthly basis unless otherwise agreed. Billing cycles begin on the date you activate your Subscription. By providing payment information, you authorise XeliAI or its payment processor to charge the applicable fees on a recurring basis until you cancel.
XeliAI accepts major credit and debit cards and other payment methods as displayed on the Platform. You represent that the payment information you provide is accurate and that you are authorised to use the payment method.
All fees are exclusive of applicable taxes, levies, and duties, including VAT, GST, or withholding taxes as required by law in your jurisdiction. You are solely responsible for the payment of such taxes.
If your payment fails or your account balance becomes overdue, XeliAI may suspend access to your account without prior notice. Access will be restored upon receipt of full payment. Repeated non-payment may result in account termination.
All fees paid to XeliAI are non-refundable except as expressly required by applicable law. XeliAI does not offer prorated refunds for partial months, unused features, or early cancellations. If you believe a charge was made in error, contact support@xeliai.com within 14 days of the charge.
You may cancel your Subscription at any time through your account dashboard or by contacting support. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until that date. Cancellation does not entitle you to a refund for any prepaid periods.
You may use the Platform solely for lawful business purposes and in accordance with these Terms. You are responsible for ensuring your use of the Platform and the deployment of your chatbot complies with all applicable laws, regulations, and third-party rights.
You must not use the Platform to:
Conversations consumed beyond your plan limit may result in automatic service degradation or overage charges as communicated in your account dashboard. XeliAI reserves the right to throttle or suspend services where usage significantly exceeds plan limits in ways that affect platform performance for other users.
You retain ownership of all Content you upload to the Platform, including your Knowledge Base materials. By uploading Content, you grant XeliAI a non-exclusive, worldwide, royalty-free licence to host, process, and use that Content solely for the purpose of providing the Services to you.
You are solely responsible for all Content you upload or make available through the Platform. You represent and warrant that: (a) you own or have the necessary rights to all Content you upload; (b) your Content does not infringe any third-party intellectual property, privacy, or other rights; and (c) your Content complies with all applicable laws.
XeliAI uses your Knowledge Base Content to configure, train, and improve responses generated by your chatbot instance. XeliAI does not use your Content to train its general AI models shared with other customers without your explicit written consent.
XeliAI implements enterprise-grade encryption and strict access controls to protect your Content and account data. Details of our security practices are described in our Privacy Policy available at xeliai.com.
Upon termination of your account, XeliAI will retain your Content for a period of 30 days, during which you may request a data export. After this period, your Content will be permanently deleted from XeliAI's systems except where retention is required by law.
You are the data controller for personal data collected about your End Users through the chatbot. You are responsible for obtaining necessary consents and complying with applicable data protection laws, including the Nigeria Data Protection Act 2023 (NDPA) and any other relevant legislation. XeliAI processes End User data as a data processor acting on your instructions.
XeliAI owns or licences all intellectual property rights in the Platform, including software, AI models, interfaces, designs, trademarks, logos, and documentation. Nothing in these Terms transfers any XeliAI IP to you. You receive only a limited, non-exclusive, non-transferable licence to use the Platform for the purposes set out in these Terms.
You retain all intellectual property rights in your Content and your brand. XeliAI makes no claim of ownership over your Content.
If you provide feedback, suggestions, or ideas about the Platform, you grant XeliAI a perpetual, irrevocable, royalty-free licence to use such feedback for any purpose without restriction or compensation to you.
XeliAI may reference your company name or logo as a customer in marketing materials, with your prior written consent. You may revoke such consent at any time by notifying support@xeliai.com.
Where your Subscription includes API access, XeliAI grants you a limited, non-exclusive, non-transferable licence to integrate the XeliAI API into your own products and services, subject to these Terms and any additional developer documentation published at xeliai.com/api.
API keys are confidential credentials. You are responsible for maintaining the security of your API keys and for all API calls made using your keys. Do not embed API keys in client-side code or share them publicly.
XeliAI imposes rate limits on API usage. Exceeding rate limits may result in throttling or temporary suspension of API access. Commercial use of the API beyond Subscription plan limits may require an Enterprise arrangement.
You may not use the API to create products or services that directly compete with XeliAI's core offerings, to resell access to the API, or for any purpose that violates these Terms or applicable law.
XeliAI's collection, use, and handling of personal data is governed by its Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the data practices described in the Privacy Policy. XeliAI processes personal data in compliance with the Nigeria Data Protection Act 2023 (NDPA), the EU General Data Protection Regulation (GDPR) where applicable, and other relevant data protection laws. Customers operating in jurisdictions with specific data protection requirements are responsible for ensuring their use of the Platform complies with those requirements. Where required by applicable law, XeliAI will enter into a Data Processing Agreement (DPA) with Enterprise customers upon written request. Please contact support@xeliai.com for DPA inquiries.
Each party agrees to keep confidential all non-public information received from the other party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of its disclosure.
Neither party will disclose Confidential Information to third parties without the other party's prior written consent, except: (a) to its employees, contractors, or advisors who need to know and are bound by equivalent confidentiality obligations; or (b) as required by law, regulation, or court order, provided that the receiving party gives reasonable prior written notice to the disclosing party where permitted.
This obligation survives termination of these Terms for a period of three years.
THE PLATFORM AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR ACCURACY. XELI AI DOES NOT WARRANT THAT THE PLATFORM WILL BE ERROR-FREE, UNINTERRUPTED, SECURE, OR THAT RESULTS OBTAINED FROM ITS USE WILL BE ACCURATE OR RELIABLE.
AI-generated responses produced by the Platform are automated outputs and may not always be accurate, complete, or appropriate. XeliAI is not liable for decisions made by you or your End Users based on AI-generated content. You should independently verify any AI output before relying on it for consequential business decisions.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL XELI AI, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOST PROFITS, LOST DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE PLATFORM, EVEN IF XELI AI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. XELI AI'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO XELI AI IN THE THREE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Nothing in these Terms limits or excludes liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; or (c) any liability that cannot be excluded by applicable law.
You agree to indemnify, defend, and hold harmless XeliAI and its directors, officers, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses arising out of or in connection with:
XeliAI will notify you promptly of any claim subject to indemnification and will cooperate with your reasonable defence efforts, at your expense.
The Platform may integrate with or provide links to third-party services, tools, APIs, or platforms, including CRMs, databases, email services, and messaging platforms. XeliAI does not endorse, control, or assume responsibility for third-party services. Your use of third-party services is governed by their respective terms and privacy policies. XeliAI is not liable for any loss or damage arising from your use of third-party integrations or the unavailability of third-party services that affect the Platform.
The account holder may invite additional team members to access the Platform under a shared account. The Account Owner is responsible for: (a) ensuring all invited team members comply with these Terms; (b) all actions taken by team members under the shared account; and (c) revoking access for team members who are no longer authorised. XeliAI is not responsible for disputes between Account Owners and their team members. The Account Owner remains fully liable for the account.
These Terms are effective from the date you first access the Platform and continue until terminated by either party.
You may terminate your account at any time by cancelling your Subscription and deleting your account through the dashboard or by contacting support@xeliai.com. Termination does not entitle you to a refund for any prepaid period.
XeliAI may suspend or terminate your access to the Platform at any time, with or without notice, if: (a) you breach these Terms and fail to cure the breach within 14 days of written notice; (b) you engage in fraudulent, abusive, or unlawful activity; (c) XeliAI ceases to operate the Platform; or (d) required by law or regulation.
Upon termination: (a) your licence to use the Platform immediately ceases; (b) XeliAI may delete your account and Content after the 30-day retention period; (c) outstanding fees become immediately due and payable; and (d) clauses that by their nature should survive termination will continue in force.
These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions.
In the event of any dispute, claim, or controversy arising out of or relating to these Terms or the Platform, the parties agree to first attempt to resolve the dispute through good-faith negotiation. Either party may initiate this process by sending written notice to the other party.
If the dispute is not resolved through negotiation within 30 days, it shall be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act of Nigeria. The seat of arbitration shall be Port Harcourt, Rivers State, Nigeria. The arbitration shall be conducted in the English language. The arbitrator's award shall be final and binding.
To the extent permitted by law, you agree to resolve disputes with XeliAI on an individual basis. You waive your right to bring or participate in class action lawsuits or class-wide arbitration against XeliAI.
Notwithstanding the foregoing, XeliAI reserves the right to seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or Confidential Information.
These Terms, together with the Privacy Policy and any executed Order Forms or Subscription agreements, constitute the entire agreement between you and XeliAI with respect to the Platform and supersede all prior agreements, representations, and understandings.
XeliAI may update these Terms from time to time. When material changes are made, we will notify registered users by email or in-platform notification at least 14 days before the changes take effect. Your continued use of the Platform after the effective date constitutes your acceptance.
If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision will be severed from the remaining Terms, which will continue in full force and effect.
A party's failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.
You may not assign or transfer any rights or obligations under these Terms without XeliAI's prior written consent. XeliAI may freely assign its rights and obligations, including in connection with a merger, acquisition, or sale of substantially all assets.
Neither party will be liable for delays or failures in performance resulting from causes beyond its reasonable control, including acts of God, natural disasters, epidemics, pandemics, war, terrorism, government action, cyberattacks by third parties, or failures of third-party infrastructure or services.
Notices to XeliAI under these Terms must be sent by email to legal@xeliai.com. Notices to you will be sent to the email address registered on your account.
These Terms are written in English. Where a translation is provided, the English version prevails in the event of any inconsistency.
